Individual Client Agreement and Informed Consent.

This Individual Client Agreement and Informed Consent (“Agreement”) is formed and entered into on the date of client acceptance, between Wilder Holistic Coaching and Wellness LLC, a Montana Limited Liability Company (Company), Fawn Wilder (Coach), and the Client. Coach and Client voluntarily agree to the following terms:

Coach and Client agree to the price established on the scheduling tab for the Client's purchase of nurse Coaching sessions (“Sessions”). Coach agrees to provide the services outlined in the Session Details below. Client agrees that Coach will use appropriate tools and methodologies per Client’s needs, as defined by the scope of Coach training, education, and practice.

SESSION DETAILS

1. Coaching is a relationship of respect between the holistic nurse coach and their client. Holistic coaching aims to support the client's general well-being and promote healthy lifestyle choices, operating within the scope of professionally defined nursing interventions.

2. Many techniques, such as awareness practices, relaxation, and guided imagery, may be new to you throughout coaching sessions. Clients may decline any method or service at their discretion.

3. Coach has a rich background and experience in lifestyle health and well-being of the entire person through the lifespan. Coach recognizes the Client's unique story, beliefs, values, history, and culture. Together, Coach and Client will explore the Client's challenges, obstacles, and successes throughout the coaching and change process.

RECORDING

1. Client can consent to or decline the recording of client sessions. If consent for recording is obtained, all information will be stored in a manner that is HIPAA-compliant.

2. If consent for recording is given, it is up to the nurse coach to decide if/when recording will occur.

3. Consent does not imply that every session will be recorded or that recordings will be available to the client.

ADD-ON SERVICES

1. Client may voluntarily request add-on complementary services, including but not limited to Reiki, guided meditation, aromatherapy, and awareness practices for an additional fee and as available from Coach. The client may be asked to sign a further agreement for add-on services. All additional add-on services are subject to the same terms listed in this Individual Client Agreement, Confidentiality and Informed Consent.

2. Reiki will only be performed by a Master Level Reiki practitioner and is an optional add-on service that may be terminated at any point in the Nurse Coach relationship at the client's direction

Intellectual Property Rights

MEDICAL DISCLAIMER- NOT MEDICAL ADVICE

1. Coaching is not intended to cure or treat any disease and should be utilized to support individuals seeking integrative care and whole-person well-being. Coaching is not recommended as a stand-alone health practice, and clients are strongly advised to seek medical advice from professionally trained and licensed healthcare professionals as needed.

1. At no time will Coach recommend Client stop treatments, medications, or services with other health professionals. Coach will never diagnose or treat any condition(s) or prescribe medications, herbs, or supplements to treat or attempt to treat any condition.

2. Nurse Coaching and add-on services are for emotionally and psychologically healthy individuals. The nurse coach will refer the client to an appropriately qualified professional if necessary.

3. Nurse coaching does not replace allopathic medical treatment. Instead, it is intended to enhance the universal processes of mind, body, and spiritual harmony, while offering educational resources within the scope of the registered nurse practice.

WAIVER/ASSUMPTION OF RISK

1. All education and services are provided in good faith; the nurse coach accepts no liability for damage of any nature resulting directly or indirectly from the use of any information provided in person, virtually, in writing, or online, or from failure to seek medical advice from a professionally trained and licensed medical professional.

CONFLICT OF INTEREST

1. If a conflict of interest arises, you and I will work together and discuss and take steps to resolve it respectfully and objectively. If this cannot be accomplished, the coaching agreement will be terminated, and a referral to another professional will be made.

CONFIDENTIALITY

As the nurse coach, I will maintain the confidentiality of all information shared during coaching sessions. It will not be shared at any time, either directly or indirectly. As a client, you can share any part of the coaching sessions with others. All notes from sessions that contain patient health information (PHI) will be stored in a HIPAA-compliant fashion.

SCHEDULING:

The coaching session will be conducted in person, via phone, or through an online meeting platform on an agreed-upon day, time, and location. If the coaching session is conducted by telephone or online, the coach will agree to call the nurse coach at the agreed-upon time and using the agreed-upon phone number.

The client and nurse coach agree to start and finish on time and notify each other if a session cancellation is needed. If the client is more than 10 minutes late for the coaching session, it will be canceled, and the client will be billed for the session at the discretion of the nurse coach.

CANCELLATION POLICY:

Any cancellations to the session must be made at least 24 hours before the scheduled start time via email, text, or phone. Failure to notify the nurse coach of cancellation will result in billing for the session. If two (2) or more sessions are missed or canceled due to late arrival or failure to notify within the established 24-hour period, the coaching agreement may be terminated at the discretion of the nurse coach. In the event of failure to properly inform of cancellation and termination of the contract, refunds will not be issued.

If I, the nurse coach, need to reschedule a session, I agree to provide at least 24 hours' notice.

Recurring monthly packages and add-on service commitments must be canceled in writing (via email or text) or by phone within two weeks of the next scheduled session. Cancellations without two weeks’ advance notice may result in billing for the session at the discretion of the nurse coach.

COACHING FEE AND TERMS OF AGREEMENT:

Opening Discovery Session. The nurse coach may offer potential clients a free 30-minute consultation session to introduce the coaching process and various coaching strategies. At the end of this time, a decision will be made about forming a coaching relationship. Consultations are not guaranteed, and completing a consultation does not guarantee future paid nurse coach sessions.

Subsequent services. Subsequent services will be billed according to the price listed at the time of purchase, depending on the type, quantity, and duration of the services. For cancellations and refunds, please refer to the information above. Fees are subject to change. Wilder Holistic reserves the right to decline services to any individual at any time and may terminate the nurse coach-client relationship if deemed necessary or in the best interest of the client or the nurse coach.

Wilder Holistic Coaching and Wellness does not discriminate on the basis of race, religion, sex, sexual orientation, gender identity, national origin, or disability.

Payment. Payment plans are not currently offered. Currently, payments can only be made by credit/debit card.

Wilder Holistic Coaching and Wellness does not accept or bill insurance.

Clients may be able to use HSA/FSA funds, but in some cases, they may need to submit a Letter of Medical Necessity from their medical doctor to their insurance company. The client is responsible for ensuring compliance and eligibility for using HSA/FSA funds for nurse coaching and add-on services with their insurance providers and for ensuring they act within the HSA/FSA guidelines.

Wilder Holistic Coaching and Wellness can provide a detailed bill (Super Bill) of services at the client's request; the client may then attempt to submit it to their insurance. Wilder Holistic Coaching and Wellness does not guarantee insurance acceptance and assumes no responsibility regarding insurance submissions or client use of HSA/FSA funds. Wilder Holistic Coaching and Wellness recommends that clients contact their insurance service directly if unsure of the acceptable use of funds or insurance coverage before scheduling or completing nurse coaching or add-on services.

Refunds. Refunds for individual services or sessions that have been rendered or completed will not be issued.

Refunds for packages and multi-session subscriptions may be issued at the nursing coach's discretion if the client chooses to terminate the contract early. A cancellation fee may apply. However, as mentioned above, no funds will be refunded for sessions or services that have been rendered or completed.

If the nurse coach terminates the client/coach agreement, any unused funds will be promptly refunded to the client. However, the refund may take several days or weeks to process, depending on the payment processor and the type of payment.

NOTICES

1. Except as explicitly stated otherwise, any notices given to Coach shall be given by email to the address listed in the contact information below. Any notices to Client shall be given to the email address provided during the registration/scheduling process, or such other address as each party may specify. Notice shall be deemed to be given twenty-four (24) hours after the email is sent, unless the sending party is notified that the email address is invalid. Coach may also choose to send notices by regular mail.

DISCLAIMER

1. Website materials/services are not a substitute for health advice, retaining medical care, or receiving personalized, in-state healthcare services from a healthcare provider in Client’s state.

2. Coach cannot guarantee all materials/services will benefit all individuals, and cannot make any representations or guarantees regarding individual results. Client will hold Coach and educational resources harmless if he/she/they does/do not experience the desired results, and understands that any specific health advice needed may require the services of a local health care provider.

3. Coach does not make any guarantees or assurances regarding a particular financial outcome based on use of materials/services. Coach is not responsible for Client earnings, legal battles, attorneys’ fees, or any increase or decrease in finances based upon or occurring at the same time as Client’s use of materials/services.

4. Client understands that all materials/services provided by Coach in connection with the materials/services being purchased are provided on an “as is” basis. This means that, without limitations, there are no guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, fitness for a particular purpose, merchantability, or any implied warranty of expectation or course of performance.

5. Client’s choice to purchase these materials/services from Coach is strictly voluntary and does not hold Coach responsible should Client become dissatisfied with the services.

6. Client agrees that he/she/they does/do not have a cause of action or legal remedy and is not entitled to a refund should he/she/they not achieve the desired results, as long as, Coach provides the materials/services as described above or provides a substitute approved through additional agreement by Coach and Client.

7. Fawn Wilder is not a doctor, financial adviser, licensed therapist, or otherwise. The Client agrees to hold the Company and Coach harmless for any physical, emotional, or economic injury that occurs as a direct or indirect result of the materials/services.

8. The content provided by Company on website and within the materials/services is comprised of information that may or may not be helpful Client in his/her/their personal life.

INTELLECTUAL PROPERTY

1. Coach has created numerous original, creative works in connection with the materials/services, and agrees that Coach maintains all copyrights and other intellectual property rights in all original or derivative content associated with or included in the digital products from Wilder Holistic Coaching and Wellness LLC. Content includes but is not limited to all educational resources, documents, charts, emails, graphs, products, systems, processes, handouts, e-books, downloads, videos, written material, worksheets, copy for website or sales pages, and any other original work created by Company or Fawn Wilder.

2. Nothing in this Terms of Use Agreement constitutes or grants any license to use the information, other than that which is expressly provided throughout the materials/services.

INDEMNIFICATION

1. Client agrees to defend and fully indemnify at all times the Coach and any affiliates, agents, officers, partners, and team members or other party associated with Coach harmless from any causes of action, injury, illness, misunderstanding, damages, losses, costs, expenses incurred as a result of Client's use of materials/services, as well as any third-party claims of any kind (including attorney’s fees) arising from his/her/their actions as a direct or indirect result of Client’s participation in materials/services.

2. The decision to purchase and use materials/services is solely that of Client, and he/she/they agree it is not the fault of Coach should any issues arise.

3. Client agrees to participate and provide any evidence, documents, testimony, or other information deemed valid by Coach, free of charge, if Coach finds a need to defend self.

DISPUTES/ARBITRATION

1. To expedite resolution and reduce cost, Client and Coach agree first to attempt to negotiate informally for at least 30 days before initiating arbitration or court proceedings. Informal notification commences upon written notification.

2. Client agrees that failure to achieve anticipated results is not a basis for a “dispute” and does not hold Coach responsible for any specific results, or those results other Clients of Coach have achieved.

3. If unable to resolve informally, Client and Coach agree that all disputes will be submitted for Arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org.

4. Any election to arbitrate by one party shall be final and binding on the other. The decision made by the arbitrator is final and binding on both parties and may not be appealed or otherwise set aside. The Client understands that, absent this provision, the Client would have the right to sue in court with a jury trial.

5. Client and Coach agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including exchanging any materials, documents, or information.

GOVERNANCE

1. This Agreement shall be governed by and under the control of the laws of Montana, regardless of conflict of law principles, and regardless of the location of the Client. The client understands this and agrees that the laws of Montana are applicable in this matter.

AMENDMENT

1. This agreement may be altered, amended, changed, extended, or otherwise updated based upon the changes in relevant laws, the materials/services being purchased, or as decided upon by Coach. Continued use of the material/service by the Client shall constitute an agreement to this document in its most current form.
